Welcome to the www.WBOnetwork.com which is the most complete online business tool for Women Business Owners available.   www.WBOnetwork.com is owned and operated by The Women Business Owners Network, LLC, which is based in Roanoke, VA.

 Acceptance of Terms.

You acknowledge and agree that these Terms of Use together with the www.WBOnetwork.com Privacy Policy (collectively the “Terms”) govern your use of the Site. You may access our Privacy Policy by clicking on the Privacy Policy link at the bottom of the Site. Your access to the Site in any way is evidence of your acceptance of and agreement to the Terms and enforcement of the Terms, so before using the Site, please carefully read these Terms. If you do not agree to these Terms, please do not continue to  register for a membership on the Site.   The content on www.WBOnetwork.com is available only to registered and paying members.

Modification of Terms.

www.WBOnetwork.com reserves the right, in its sole discretion, to modify the Terms at any time effective upon posting of the modified Terms on the Site, without notice to you. www.WBOnetwork.com also reserves the right to waive or modify any of these Terms as they apply to a specific member, membership or posting to common areas on the site without affecting the application of these Terms to all other Postings and members. Your continued use of the Site or any materials or services accessible through it, after such posting or notification means you accept the modifications. “Postings” means, but is not limited to, any text, links, images, content, communications, opinions, software, data, and any other content any person provides on the Site, including, but not limited to discussion forums, recent news (blog), conference calls, webinars, event listings, member to member discounts, virtual networking, membership business listings, web pages and/or other message or communication facilities designed to enable you to communicate with others.

Modification or Discontinuance of the Site.

www.WBOnetwork.com reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Site (or any part thereof). www.WBOnetwork.com shall not be liable to any User or other third party for any such modification, suspension or discontinuance except as expressly provided herein.

As described below, Users who violate the Terms may be banned permanently from posting or otherwise participating within or accessing the Site.

www.WBOnetwork.com is a business resource and networking tool and will be used accordingly.

www.WBOnetwork grants you permission to access and use the Site for your business/commerical use. You may not copy or download (other than page caching), or modify any portion of the Site, with the exception of your membership profile page, except with the express written or emailed consent of www.WBOnetwork.com. Your permission to use the Site includes business related/commercial use of the Site and its contents whether provided by www.WBOnetwork.com or registered Users contributing content in discussion forums, recent news (blog), conference calls, webinars, event listings, member to member discounts, virtual networking, membership business listings, web pages and/or other message or communication facilities designed to enable you to communicate with others; or any derivative use of this Site or its contents; or any use of data mining, robots or similar data gathering and extraction tools or processes. You agree not to copy or store in any form, distribute, transmit, display, reproduce, modify, create derivative works from, transfer, sell or otherwise exploit any of the content, software, products or services on this Site for any commercial purpose. By using the Site, you warrant to www.WBOnetwork.com that you will not use the Site, or any of the content obtained from the Site, for any purpose that is unlawful or prohibited by these Terms. If you violate any of these Terms, your permission to use the Site automatically terminates.

Registration Requirements.

In order to become a member on the Site, you must complete the registration process. As part of the registration process, you are required to select and use only one username.  The information that you supply during the registration process must be accurate and complete and you agree not to (i) register under the name of another person; (ii) choose a user name that may be deemed offensive; (iii) choose a username for the purposes of deceiving or misleading Site Users or www.WBOnetwork.com as to your true identity; or (iv) violate the intellectual property or other rights of any person or entity. You agree to not impersonate any other person, including any other Site User, Moderator (Host) or Women Business Owners Network, L.L. C., Officer or Director.

You are entirely responsible for maintaining the confidentiality of your username and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify www.WBOnetwork.com immediately of any unauthorized use of your account or any other breach of security. www.WBOnetwork.com will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by www.WBOnetwork.com or another party due to someone else using your account or username. You may not use anyone else’s account at any time, without the permission of the account holder.

All information in your membership profile/business listing will be accessible by ALL registered members on the website.  You may release as much or as little personal information as you feel comfortable with.  Your name,  business name, business contact information, website, e-mail and phone numbers on your registration will be available for all registered members to see but will remain confidential to any non-member visiting the main page of the Site.

You are able to maintain and update your registration as often as you need to so as to keep it true, accurate, current and complete.  After the registration process is complete you will be e-mailed your username and password so that you may begin editing your membership profile/business listing.

If, after investigation, www.WBOnetwork.com has reasonable grounds to suspect that any Registered Member’s information is untrue, inaccurate, not current or incomplete, www.WBOnetwork.com may suspend or terminate that Registered User’s account and prohibit any and all current or future use of the Site (or any portion thereof) by that Registered User other than as expressly provided herein.  Any Registered Member who has been terminated will still be charged their monthly membership fee for at the membership level they chose at the time of registration and no refunds will be given.

Terms of Payment

PREMIUM MEMBERSHIP – the cost of a 1-month membership is $39.00 and will be charged and processed to the credit card submitted at the time of registration.  Each month, each Registered Member’s membership to www.WBOnetwork.com will automatically renew and $39.00 will be charged and processed to the credit card submitted at the time of registration and that is on file.  If a Registered Member wants to cancel their membership to www.WBOnetwork.com, she must do so prior to the last 15 days of the membership.  If this cancellation does not occur before the last 15 days of the membership, the Registered Member’s membership to www.WBOnetwork.com will automatically renew on the anniversary date and $39.00 will be charged and processed to the credit card submitted at the time of registration and that is on file.

BASIC MEMBERSHIP -  the cost of a 1-month membership is $29.00 and will be charged and processed to the credit card submitted at the time of registration.  Each month, each Registered Member’s membership to www.WBOnetwork.com will automatically renew and $29.00 will be charged and processed to the credit card submitted at the time of registration and that is on file.  If a Registered Member wants to cancel their membership to www.WBOnetwork.com, she must do so prior to the last 15 days of the membership.  If this cancellation does not occur before the last 15 days of the membership, the Registered Member’s membership to www.WBOnetwork.com will automatically renew on the anniversary date and $29.00 will be charged and processed to the credit card submitted at the time of registration and that is on file.

Content and Registered User Generated Content Management.

You also agree that you are free to provide your opinion or suggestion to us.

By placing Postings on the Site, you warrant and represent that you own or otherwise control all of the rights to your Postings as described in these Terms including, without limitation, all the rights necessary for you to provide, upload, or submit the Posting.

By submitting a Posting that contains photographs, images, pictures or that are otherwise graphical, in whole or in part (“Images”), you warrant and represent that (a) you are the copyright owner of such Images, or that the copyright owner of such Images has granted you permission to use such Images or any content and/or images contained in such Images consistent with the manner and purpose of your use and as otherwise permitted by these Terms, (b) you have the rights necessary to grant the licenses and sublicenses described in these Terms, and (c) that each person depicted in such Images, if any, has provided consent to the use of the Images as set forth in these Terms, including, by way of example, and not as a limitation, the distribution, public display and reproduction of such Images. By Posting Images, you grant www.WBOnetwork.com and its respective subsidiaries, affiliates, successors, assigns, licensees, resellers and other such parties as www.WBOnetwork.com may designate from time to time, a worldwide non-exclusive, perpetual, royalty-free license to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Images without having your name attached to such Images, and the right to sublicense such rights to any supplier of the Site, in any manner and in any media, for any purpose.

Moderators.

www.WBOnetwork.com  reserves the right to manage the Postings on the Site in order to facilitate the orderly distribution of information through the Site. For that purpose, www.WBOnetwork.com may at its election designate The Women Business Owners Network, L.L.C. employees and/or outside entities to act as Moderators for the Site. The Moderators are not obligated to review or edit all Postings. You assume the risk of reading and acting upon information from any Postings made by a Moderator or other individual within the Site.

Moderators are the only authorized representatives of www.WBOnetwork.com on the Site. Any Postings by a Women Business Owners Network, L.L.C. employee, other than those designated as Moderators, are those of such employee personally and do not represent the ideas and opinions of www.WBOnetwork.com.  www.WBOnetwork.com does not endorse and is not responsible for any Postings provided by any Women Business Owners Network, L.L.C.  employee who is not designated as a Moderator.

Member Conduct.

The Site welcomes all points of view on www.WBOnetwork.com related topics. Please respect and interact with other Registered Members as you would in any public arena. If you wish to take issue with the statements of other Registered Members, please engage in healthy, mature debate and not immature behavior or name-calling. We want to maintain an inviting and friendly environment for all visitors and members. Disruptive conduct, such as off-topic comments in a topic-oriented discussion, is not allowed. Neither is “spam” (Postings made in multiple places throughout the Site).

Profanity, Harassment and Other Inappropriate Conduct

You will not submit Postings that are indecent, profane (including masked profanity where symbols, initials, intentional misspellings or other characters are used to suggest profane language), obscene, pornographic, abusive, threatening, misleading, derogatory, illegal or defamatory, or any material that interferes with the ability of others to enjoy or utilize the Site. www.WBOnetwork.com will not tolerate harassment, or denigration based on age, gender, race, religion, national origin, sexual orientation or disability.

Rights of Third Parties

No Unlawful or Prohibited Use.

Termination of Membership.

Your privilege to use or access the Site may be terminated by www.WBOnetwork.com immediately in www.WBOnetwork.com’s  sole and absolute discretion and for any reason. www.WBOnetwork.com is especially likely to terminate for reasons that include, but are not limited to, the following: (1) violation of these Terms; (2) abuse of site resources or attempt to gain unauthorized entry to the site or site resources; (3) use of the Site in a manner inconsistent with the purpose of the Site; (4) your request for such termination; or (4) as required by law, regulation, court or governing agency order.

Upon such termination, you must immediately cease accessing or using the Site and agree not to re-register or otherwise make use of the Site. Furthermore, you acknowledge that www.WBOnetwork.com reserves the right to take action — technical, legal or otherwise — to block, nullify or deny your ability to access the Site. You understand that www.WBOnetwork.com may exercise this right in its sole discretion.  You understand that your membership fees will not be refunded.  You understand that your credit card will not be processed again for membership dues after your anniversary date passes if your membership profile/business listing has been terminated.

www.WBOnetwork.com’s termination of your use and access to the Site may be effected without notice and, on such termination, www.WBOnetwork.com may immediately deactivate or delete your account, your Postings and/or bar any further access to such files. www.WBOnetwork.com shall not be liable to you, any other Users, or other third party for any termination of your use and access to the Site or account hereunder.  In addition, termination of your privilege to use and access the Site will result in deactivation and deletion of your account and Postings from the Site. Upon termination of your use and access to the Site, www.WBOnetwork.com reserves the right to delete your account, at www.WBOnetwork’s sole discretion, as well as the right to delete your Postings from the Site, at www.WBOnetwork.com’s sole discretion.

Intellectual Property.

Miscellaneous.

The Terms will be governed by Virginia law as applied to agreements entered into and to be performed entirely within Virginia, without regard to its choice of law or conflicts of law principles that would require the application of law of a different jurisdiction, and applicable federal law. The parties hereby consent to the exclusive jurisdiction and venue in the state courts in Roanoke County, Virginia, or federal court for South West District of Virginia. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Site or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred. Headings are included for convenience only, and shall not be considered in interpreting these Terms.
